Terms of Service

1. Scope of work & customization

TEJ intelligence specializes in bespoke AI software. Each project is unique. The specific features, functions, and costs are agreed upon during the pre-order consultation. Any changes requested after the project has started may result in additional costs and timeline adjustments.

2. Payment terms

Advance payment: A 40% non-refundable deposit is required to initiate any project. This covers the cost of research, infrastructure setup, and dedicated development time.

Final payment: The remaining 60% balance must be paid in full upon project completion.

Ownership transfer: Full ownership of the source code and intellectual property will be transferred to the client only after the final payment has been cleared.

3. Delivery & deadlines

We aim to deliver all projects by the agreed-upon deadline.

Grace period: In the event of critical technical issues, we reserve the right to a maximum delay of 7 days. We will provide a formal and efficient explanation for any such delay.

Dependencies:We are not responsible for delays caused by the client's failure to provide necessary data, API keys, or feedback.

4. Third-party services & API dependencies

Our software tools often integrate with third-party AI providers, including but not limited to Google (Gemini), OpenAI (GPT), and Anthropic (Claude).

Service uptime: TEJ intelligence is not responsible for any downtime, service interruptions, or changes in pricing/terms made by these third-party providers.

API costs: Unless otherwise stated, the client is responsible for their own API usage costs and maintaining their own third-party accounts.

5. Prohibited activities & ethical use

You agree that you will not use the tools developed by TEJ intelligence for:

• Illegal, offensive, harmful, or "intense" activities (including but not limited to harassment, fraud, or automated spam).
• Any activity that violates the laws of Bangladesh or the jurisdiction where the software is being used.

Indemnification:If the client uses the software for any harmful or illegal activity, TEJ intelligence shall not be held liable or "askable" for the client's actions. The client assumes 100% legal responsibility for the output and application of the software.

6. Limitation of liability

To the maximum extent permitted by the laws of Bangladesh, TEJ intelligence shall not be liable for any indirect, punitive, or consequential damages arising out of your use of the software. Our maximum liability shall not exceed the total amount paid by the client for the specific project in question.

7. Termination

We reserve the right to terminate our services if:

• The client fails to make payments.
• The client requests the development of tools intended for illegal or unethical purposes.
• The client violates any of the terms listed here.

8. Governing law

These Terms are governed by and construed in accordance with the laws of Bangladesh. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Bangladesh.
